Docent’s team will join GetWellNetwork (Royal Tuthill named General Manager, Docent Health) to accelerate patient outreach, care coordination, and population health programs across health systems including CommonSpirit Health.

HEALWELL AI Acquires Intrahealth Systems from WELL Health Technologies

HEALWELL AI Inc. agreed to acquire Intrahealth Systems Limited from WELL Health Technologies Corp. for approximately $24.2 million, primarily paid in HEALWELL shares. The acquisition adds a mature, SaaS-based EHR platform supporting ~15,000 clinicians (expected >$12M revenue in 2024, >80% gross margins) and will be integrated with HEALWELL's AI tools to create an AI-powered EHR.

InformedDNA Acquires gWell Health

InformedDNA has acquired gWell Health, a digital health and genomics-driven wellness platform, and appointed gWell founder Surya Singh, MD as InformedDNA's CEO. The deal will combine InformedDNA's clinical genomics expertise with gWell's technology to expand precision-health offerings across prevention, musculoskeletal care, oncology, drug metabolism and maternity care; financial terms were not disclosed.

HEALWELL AI to Acquire VeroSource Solutions

HEALWELL AI Inc. has agreed to acquire VeroSource Solutions Inc. for total consideration of approximately $24.5 million in a two-step transaction (initial ~51% on July 1, 2024 and remaining ~49% expected about January 1, 2025), payable in cash, HEALWELL subordinate voting shares and a performance-based earn-out. VeroSource, a Canadian health-data interoperability and digital-front-door platform serving provincial health clients, is expected to generate over $8 million in 2024 with strong recurring revenue and margins and will expand HEALWELL's population-health and AI-driven capabilities.

WELL Health (WELL Ventures) Makes Minority Investment in Tali.ai

WELL Health Technologies, through its WELL Ventures subsidiary, made a minority investment in Tali.ai and entered a five-year strategic alliance to commercialize Tali.ai's AI voice assistant across WELL's EMR portfolio and apps.health marketplace. The deal gives WELL access to Tali.ai's NLP-driven voice capabilities for clinicians and enables Tali.ai to be beta-tested in WELL clinics and offered to over 15,000 providers across Canada.

WELL Health Technologies to Acquire Majority Control of HEALWELL AI Concurrent With HEALWELL’s Acquisition of Orion Health

WELL Health Technologies plans to amend and exercise its call right to acquire a majority controlling interest in HEALWELL AI (HEALWELL) concurrent with the anticipated closing of HEALWELL’s proposed acquisition of Orion Health on April 1, 2025. Following the exercise, WELL expects to begin consolidating HEALWELL from April 1, 2025 and to hold about 37% economic interest and about 69% voting interest in HEALWELL (non-diluted). Separately, HEALWELL completed the Orion Health acquisition on April 1, 2025 and WELL exercised the call right at the same time.
