WELL Health (WELL Ventures) Makes Minority Investment in Tali.ai

WELL Health Technologies, through its WELL Ventures subsidiary, made a minority investment in Tali.ai and entered a five-year strategic alliance to commercialize Tali.ai's AI voice assistant across WELL's EMR portfolio and apps.health marketplace. The deal gives WELL access to Tali.ai's NLP-driven voice capabilities for clinicians and enables Tali.ai to be beta-tested in WELL clinics and offered to over 15,000 providers across Canada.

Following the exercise, WELL expects to begin consolidating HEALWELL from April 1, 2025 and to hold about 37% economic interest and about 69% voting interest in HEALWELL (non-diluted). Separately, HEALWELL completed the Orion Health acquisition on April 1, 2025 and WELL exercised the call right at the same time.

MyHealth operates 48 locations across Ontario (with ~75% of consultations via telehealth) and is expected to generate proforma revenues of approximately C$100M with ~20% EBITDA margins in 2021.
