VMware, Inc. completed its acquisition of Pivotal Software, Inc., acquiring Pivotal for an enterprise value of approximately $2.7 billion and making Pivotal a wholly owned subsidiary. Pivotal's cloud-native platform and developer-focused offerings will be integrated into VMware's Tanzu portfolio to expand VMware's modern application and Kubernetes capabilities.

Dell Technologies completed the spin-off of its 81% equity ownership of VMware, distributing VMware Class A and Class B shares to Dell stockholders via a special dividend and converting Class B shares into Class A prior to distribution. VMware also paid an $11.5 billion special cash dividend to its shareholders (Dell received $9.3 billion), and the two companies preserved a commercial agreement to maintain product co-development and sales alignment while allowing VMware to operate as a standalone company.

The deal was funded with $19.8 million cash at closing plus a $3.5 million cash holdback; Panviva is expected to contribute approximately $7.5 million of recurring annual revenue and the transaction led Upland to raise its 2021 guidance.

The acquisition (terms undisclosed) brings Puppet's DevOps and security automation capabilities into Perforce's portfolio to expand its ability to manage and secure infrastructure across data centers, clouds, and the edge; the deal was expected to close in Q2 2022.
