Vera Whole Health Acquires Castlight Health

Vera Whole Health agreed to acquire publicly traded Castlight Health for approximately $370 million in an all-cash tender offer at $2.05 per share, taking Castlight private. Funds advised by Clayton, Dubilier & Rice (CD&R) committed to be the majority equity backer of Vera to support the combination, and Anthem will make an investment in the combined company to help scale value-based care by integrating Castlight's navigation technology with Vera's primary-care clinics.
