Sorrento Therapeutics Acquires ACEA Therapeutics

Sorrento Therapeutics completed the acquisition of ACEA Therapeutics, making ACEA a wholly owned subsidiary and issuing Sorrento common stock plus contingent milestone and royalty payments. The deal adds multiple clinical- and preclinical-stage new chemical entities (including abivertinib) to Sorrento's oncology and immunotherapy pipeline and expands its development and manufacturing footprint in China and North America.

Boehringer Ingelheim Acquires Nerio Therapeutics

Boehringer Ingelheim agreed to acquire Nerio Therapeutics, a San Diego-based preclinical biotech focused on PTPN2/N1 phosphatase inhibitors for immuno-oncology, for up to $1.3 billion. Nerio was invested/incubated by Viva BioInnovator and backed by a syndicate including Avalon Ventures; the deal is intended to accelerate development of Nerio’s preclinical program as a cornerstone of Boehringer’s immuno-oncology portfolio.

AbbVie Acquires Cerevel Therapeutics

AbbVie (AbbVie Inc.) announced it will acquire Cerevel Therapeutics in a definitive agreement, strengthening its neuroscience pipeline with multiple clinical- and preclinical-stage programs. The deal values Cerevel at about $8.7 billion and is structured as an all-cash purchase of all outstanding Cerevel shares for $45.00 per share.

Merck & Co., Inc. Acquires VelosBio Inc.

Merck & Co., Inc. will acquire all outstanding shares of clinical-stage biopharmaceutical company VelosBio for $2.75 billion in cash. The acquisition adds VelosBio's lead investigational antibody-drug conjugate VLS-101 and ROR1-directed pipeline assets to Merck's oncology portfolio and is expected to close by the end of 2020, subject to customary conditions.

Servier Acquires Symphogen A/S from Novo Holdings and Other Owners

Servier has acquired 100% of the share capital of Symphogen A/S from Novo Holdings and the remaining owners, taking ownership of the Danish therapeutic antibody discovery and early biologics development company. The deal brings Symphogen’s antibody discovery platform and CMC biologics development capabilities into Servier’s oncology and immuno-oncology R&D efforts to strengthen its biologics pipeline and development capacity.

SERB Pharmaceuticals Acquires Y-mAbs Therapeutics

SERB Pharmaceuticals completed its acquisition of Y-mAbs Therapeutics following a tender offer and statutory merger, making Y-mAbs a wholly owned subsidiary and delisting it from Nasdaq. The deal adds Y-mAbs' antibody-based oncology assets — including Danyelza (naxitamab-gqgk) — to SERB's rare disease and rare oncology portfolio to expand its commercial capabilities in pediatric and rare cancers.
