ONEOK Acquires EnLink Midstream (Including GIP’s Interest) and Medallion Midstream

ONEOK executed definitive agreements to acquire Global Infrastructure Partners’ controlling interest in EnLink Midstream and to buy Medallion Midstream, strengthening ONEOK’s integrated Permian Basin and broader midstream platform. ONEOK later announced a definitive merger agreement to acquire the remaining publicly held EnLink common units in a tax-free exchange, and subsequently completed the EnLink acquisition in January 2025.

The transaction, effective December 3, 2021, adds substantial fee-based cash flows and geographic footprint (Anadarko, Arkoma and Haynesville basins) and is expected to generate more than $100 million of annual run-rate synergies.

Cardinal Midstream Partners Acquires Medallion's Delaware Basin Gas Gathering and Processing Business

Cardinal Midstream Partners, a Dallas-based midstream platform backed by EnCap Flatrock Midstream, closed the acquisition of Medallion Midstream Services' natural gas gathering and processing business in the Delaware Basin (Reeves and Loving counties). The assets include ~80 miles of gathering pipelines and a 140 MMcf/d processing facility and are expected to serve as a cornerstone for Cardinal's growth and future bolt-on opportunities in the basin.

Phillips 66 Increases Economic Interest in DCP Midstream

Phillips 66 realigned joint-venture interests with Enbridge to increase its economic stake in DCP Midstream, LP from 28.26% to 43.31%, and will oversee the joint venture’s interest in DCP including the General Partner. The transaction (which included a roughly $400 million cash contribution from Phillips 66 and merged Gray Oak Holdings into DCP Midstream) closed on August 17, 2022 and is intended to integrate Phillips 66’s NGL value chain from wellhead to market.

Phillips 66 Acquires Pinnacle Midstream from Energy Spectrum Capital

Phillips 66 has agreed to acquire Pinnacle Midland Parent LLC (Pinnacle Midstream II) from private equity firm Energy Spectrum Capital for $550 million to expand its natural gas gathering and processing footprint in the Midland Basin. The assets include the Dos Picos 220 MMcf/d processing plant, ~80 miles of gathering pipeline and 50,000 dedicated acres; the deal is expected to close mid‑2024 subject to customary conditions, including HSR clearance.

Enterprise Products Partners Acquires Piñon Midstream

Enterprise Products Partners L.P. (through an affiliate) entered into a definitive agreement to acquire Piñon Midstream, LLC from Black Bay Energy Capital for $950 million in a debt-free cash transaction. Enterprise later announced the acquisition was completed. Piñon Midstream provides natural gas gathering and treating services in the Delaware Basin’s eastern flank in New Mexico and Texas, including sour gas treatment and CO2 permanent sequestration-related infrastructure.
