Nutritional High International Inc. has entered into a letter of intent to acquire a 51% controlling interest in Tres Ojos Naturals, LLC d/b/a SolDaze for total gross consideration of USD $1,530,000, consisting of $450,000 cash and the balance in common shares. Nutritional High has an option to acquire the remaining 49% between months 24 and 36 following closing (priced at six times EBITDA), and intends to use the deal to strengthen its California product portfolio and distribution capabilities for cannabis-infused edibles.

The deal adds an accredited Malaysian healthcare education provider (with 60+ tuition centres and courses in nutrition, dietetics and Chinese medicine) to NHF Holdings’ portfolio; closing and due diligence were expected within 60 days of the term sheet.
