Novacap has acquired Cadent, LLC, a New York–based provider of converged TV advertising platform solutions, from funds managed by Lee Equity Partners. The transaction will see Novacap partner with Cadent’s management to accelerate growth and expand the company’s converged TV and audience-targeting capabilities across CTV, traditional TV and digital inventory.

Novartis Acquires DTx Pharma

Novartis has acquired DTx Pharma, a San Diego–based preclinical biotechnology company, for an upfront payment of USD 500 million plus contingent milestone payments. The deal brings DTx's FALCON siRNA delivery platform and lead program DTx-1252 (orphan-designated for CMT1A) into Novartis to strengthen its neuroscience pipeline and xRNA capabilities.

AbbVie Acquires Syndesi Therapeutics

AbbVie has acquired Syndesi Therapeutics for up to US$1.0 billion, including US$130 million upfront, to strengthen its neuroscience portfolio and accelerate Syndesi's lead SV2A program SDI-118 into later-stage development. Syndesi was a Novo Seeds / UCB spin-out backed by Novo Holdings and a syndicate of Belgian and international investors.

Cadent Acquires AdTheorent

Cadent, a portfolio company of private equity firm Novacap, acquired AdTheorent Holding Company, Inc. for $3.21 per share in an all-cash transaction valuing AdTheorent at approximately $324 million. The deal (announced April 1, 2024 and closed June 21, 2024) brings AdTheorent's machine-learning–driven programmatic advertising capabilities into Cadent's converged TV and omnichannel advertising platform to create an expanded audience activation offering.

Novartis AG Acquires Chinook Therapeutics

Novartis AG agreed to acquire Chinook Therapeutics for $40 per share in cash, with contingent value rights of up to $4 per share tied to regulatory milestones —bringing total consideration to as much as approximately $3.5 billion. The acquisition, approved by both companies' boards, brings Chinook's kidney-disease pipeline into Novartis' renal portfolio and was expected to close in the second half of 2023 subject to customary conditions.

BioNTech Acquires Neon Therapeutics

BioNTech SE will acquire Neon Therapeutics, Inc. in an all-stock transaction valued at approximately $67.0 million. Neon, a Cambridge-based developer of neoantigen-targeted T cell therapies, will become a wholly owned subsidiary of BioNTech to expand BioNTech’s T cell therapy capabilities and U.S. presence.
