Flowserve Corporation Acquires Velan Inc. for Approximately $245M

Flowserve Corporation agreed to acquire Velan Inc. in an all-cash transaction valued at approximately $245 million (C$329 million), including assumption of outstanding debt. The acquisition adds Velan's engineered industrial valve products, aftermarket opportunities and technical expertise—particularly in nuclear, cryogenic and defense markets—to Flowserve's Flow Control Division and is expected to deliver cost synergies and be accretive to adjusted EPS in the first full year after close.

Global Risk Capital will capitalize the U.S. subsidiary with US$143 million (plus US$7 million from the Buyer), removing asbestos liabilities from Velan’s balance sheet. Separately, Velan Valves Limited signed an MoU to sell its French subsidiaries (Segault SAS and Velan S.A.S.) to Framatome SAS for US$175.2 million (€170 million), with total consideration to Velan of US$198.4 million (€192.5 million) including transfer of an intercompany loan; definitive agreement is subject to shareholder approval.

Curtiss-Wright Corporation agreed to acquire Dyna-Flo Control Valve Services Ltd. for CAD$81 million (approximately US$62 million) in cash. Dyna-Flo, a Calgary-area (Edmonton) manufacturer of control and isolation valves and actuators with approx. 120 employees and expected 2020 sales of CAD$33 million, will be integrated into Curtiss-Wright’s Commercial/Industrial segment to expand its industrial valve portfolio and global sales reach.

Flowserve Acquires MOGAS Industries

Flowserve Corporation agreed to acquire Houston-based MOGAS Industries for $290 million upfront plus up to a $15 million earnout (approximately $305 million including earnout), strengthening Flowserve’s severe-service valve portfolio and aftermarket capabilities. The deal, expected to close in 4Q 2024 (now completed per later release), roughly doubles Flowserve’s direct mining and mineral-extraction exposure and will integrate MOGAS into Flowserve’s Flow Control Division.

Vian, a designer and manufacturer of multi-stage lubrication pumps and lubrication system components for aerospace and defense, reported trailing 12-month sales of about $33 million and adjusted EBITDA of approximately $8 million; Crane said the acquisition expands its Aerospace & Electronics fluid solution capabilities and is expected to be immediately accretive to segment margins.
