Delek Logistics Partners Acquires Gravity Water Intermediate Holdings (Gravity Water Midstream)

Delek Logistics Partners, L.P. (NYSE: DKL) completed its previously announced acquisition of Gravity Water Intermediate Holdings, which houses Gravity’s water midstream operations (Gravity Water Midstream). The transaction is valued at $285 million, including $200 million in cash (subject to closing adjustments) and approximately 2.175 million DKL units. Gravity Oilfield Services (backed by Clearlake) agreed to sell the water midstream division while retaining its power infrastructure assets.

MPLX LP Acquires Northwind Midstream for $2.375 Billion

MPLX LP has completed its $2.375 billion acquisition of Northwind Delaware Holdings LLC (Northwind Midstream), which provides sour gas gathering, treating, and processing services in Lea County, New Mexico. The acquisition strengthens MPLX’s Permian Basin natural gas and NGL value chains and is expected to be immediately accretive to distributable cash flow, with estimated incremental capital of $500 million for in-process expansion projects.

Crestwood Equity Partners Acquires Oasis Midstream Partners in ~$1.8 Billion Deal

NGL Energy Partners LP Acquires Hillstone Environmental Partners from Golden Gate Capital

NGL Energy Partners LP has agreed to acquire all equity interests of Hillstone Environmental Partners LLC from Golden Gate Capital for approximately $600 million. The acquisition adds Hillstone's produced water pipelines and disposal well network in the Northern Delaware Basin to NGL's existing Delaware Basin water platform, increasing disposal and transportation capacity and providing long-term contracted volumes.

Deep Blue Midland Basin LLC Acquires Environmental Disposal Systems, LLC from Diamondback Energy

Deep Blue Midland Basin LLC, the Midland Basin water-infrastructure platform backed by Five Point and Diamondback, agreed to acquire Environmental Disposal Systems, LLC from Diamondback Energy. The transaction (valued at $750 million) nearly doubles Deep Blue's scale, secures a 15-year dedication from Diamondback, and is expected to unlock operational and commercial synergies across the integrated produced-water system.
