B. Riley Financial has entered into a definitive agreement to acquire National Holdings Corporation, initiating an all-cash tender offer for the remaining shares it does not own at $3.25 per share. The deal will combine B. Riley's diversified financial services platform with National's investment banking, brokerage and wealth management businesses, materially expanding B. Riley's retail distribution and assets under management.
