TA Associates Invests in Volue as New Strategic Investor

TA Associates joined as a new strategic investment partner in Volue, investing alongside existing shareholders Advent International, Generation Investment Management, and Arendals Fossekompani. The deal values Volue at about €1.5 billion (100% basis) and includes cash proceeds of approximately EUR 38 million to Arendals Fossekompani, with Arendals Fossekompani’s ownership expected to be around 36% after closing (subject to regulatory approvals and closing adjustments).

Sval Energi Acquires Edison Norge

Sval Energi AS has agreed to acquire Edison Norge AS from Edison for an agreed price of USD 300 million (financially effective 1 January 2020). The acquisition adds ~25 mmboe (57% gas) to Sval’s reserve base and increases its interests in the Dvalin and Nova developments, strengthening its upstream position on the Norwegian Continental Shelf.

Hafslund Eco, Infranode and HitecVision Acquire Fortum Oslo Varme (Hafslund Oslo Celsio)

A consortium of Hafslund Eco, Infranode and HitecVision has completed the acquisition of Fortum Oslo Varme, which will be renamed Hafslund Oslo Celsio. Hafslund Eco holds a 60% majority stake while Infranode and HitecVision hold 20% each; the partnership plans ~NOK 10 billion of investments including NOK 1.4 billion for a CCS project at the Klemetsrud waste-to-energy plant and major district cooling investments.

Valedo Partners Invests to Form Eltera Gruppen, a Norway Electrical Services Platform

Valedo Partners III AB has invested in eight businesses to create Eltera Gruppen, a full-service electrical installation and maintenance group operating through 16 branches across Norway with combined revenues of around 1 billion NOK. Founders, board members and employees co-invested alongside Valedo; financial terms were not disclosed.

Vår Energi Acquires Neptune Energy Norge AS

Vår Energi ASA completed the acquisition of 100% of the shares in Neptune Energy Norge AS, strengthening its position on the Norwegian Continental Shelf and adding ~67 kboepd of production and ~265 mmboe of 2P reserves. The transaction was agreed at an enterprise value of USD 2.275 billion and closed on 31 January 2024 (effective date 1 January 2023); net cash consideration paid on completion (less cash in Neptune Norway) was approximately USD 1.2 billion. The deal increases Vår Energi's scale, operatorships and gas/LNG exposure and is inter-conditional with a separate transaction in which Eni acquires the remainder of Neptune's global assets.

Vega Consulting Completes Acquisition of Volt Information Sciences

Vega Consulting, an affiliate of American CyberSystems (ACS), completed its acquisition of Volt Information Sciences through a tender offer and second-step short-form merger. Vega MergerCo purchased all outstanding shares of Volt at $6.00 per share, and Volt became a wholly owned subsidiary.
