123Dentist and Altima Dental Merge with Support from Peloton Capital, KKR, Heartland Dental and Sentinel Capital Partners

123Dentist, Altima Dental, and Lapointe Group entered into a merger agreement to create one of the largest dental support organizations (DSOs) in Canada with nearly 350 supported dental practices. The deal is financed by equity from 123Dentist’s partner Peloton Capital Management, with new investors KKR and Heartland Dental, and Sentinel Capital Partners retaining a minority stake; the transaction was expected to close in Q3 2022.

ADPI, a portfolio company of JLL Partners, will join Heartland’s network (creating a combined footprint of over 2,300 supported dentists and more than 1,400 locations); the deal is structured as an add-on to Heartland’s KKR-backed platform and is expected to close in Q2 2021 subject to customary conditions.
